Client Engagement Terms & Conditions

These Client Engagement Terms & Conditions (“Terms”) govern the provision of services by Chad Harwood-Jones (Autónomo, NIE Y4531092Z), trading as Baleario (“Baleario”, “we”, “us”, “our”) to the client (“Client”, “you”, “your”).
By engaging Baleario’s services, you agree to be bound by these Terms.
SECTION A – GENERAL TERMS (APPLICABLE TO ALL SERVICES)
1. Legal Identity
Baleario operates as a Spanish registered autónomo (self-employed professional).

2. Scope of Services
Baleario provides services including, but not limited to:
- Accounting and bookkeeping
- Tax compliance and advisory
- Payroll coordination
- Cross-border financial consulting
- Non-resident tax services
- Mortgage introduction and coordination services
The specific scope of services will be agreed in writing via proposal, onboarding confirmation, or engagement email.
3. No Legal or Regulated Financial Advice
Baleario does not provide legal advice or regulated financial advice unless expressly stated in writing.
Clients are responsible for obtaining independent legal or financial advice where appropriate.
Baleario does not guarantee tax outcomes, regulatory decisions, refunds, approvals, financing approvals, or specific financial results. All services are provided on a best-efforts basis using information supplied by the Client.
4. Client Responsibilities
The Client agrees to:
- Provide complete, accurate, and timely information
- Disclose all relevant income, assets, liabilities, and transactions
- Review and approve filings before submission
- Make statutory payments (tax, social security, etc.) from their own bank account unless otherwise agreed in writing
Baleario accepts no liability for errors, penalties, interest, or losses arising from inaccurate, incomplete, or delayed information provided by the Client.
Baleario shall not be liable where the Client fails to implement advice provided or fails to respond to tax authority or regulatory correspondence in a timely manner.
5. Fees and Payment Terms
All fees quoted or agreed are exclusive of IVA (Impuesto sobre el Valor Añadido) or any other applicable indirect taxes, which will be charged at the prevailing statutory rate where applicable.
Invoices are payable within the stated payment term.
Late payments may result in:
- Statutory interest under Spanish Commercial Law
- Suspension of services
- Delay in filings or submissions
Baleario reserves the right to withhold filings, certificates, or documentation until outstanding balances are settled.
6. Confidentiality
All client information will be treated as confidential except where disclosure is required by law or necessary to deliver agreed services.
7. Limitation of Liability
Baleario’s liability is limited to direct losses only.
Baleario’s total liability for any claim shall not exceed the total fees paid by the Client in the 12 months preceding the claim.
Baleario shall not be liable for:
- Indirect or consequential loss
- Loss of profits or business interruption
- Government or regulatory system failures
- Banking failures
- Third-party software failures
- Outcomes beyond our reasonable control
8. Termination (General)
Either party may terminate services with written notice.
Termination does not affect:
- Outstanding payment obligations
- Accrued rights
- Liability limitations
Further termination conditions may apply depending on the specific service engaged (see Sections B and C below).
9. Entire Agreement
These Terms, together with any written proposal or engagement confirmation, constitute the entire agreement between the Parties and supersede any prior discussions, representations, or understandings.
10. Governing Law
These Terms are governed by the laws of Spain.
Any dispute shall be subject to the exclusive jurisdiction of the courts of Palma de Mallorca, Spain.
SECTION B – ACCOUNTING & TAX SERVICES
(Only applicable where the Client engages accounting, bookkeeping, payroll, or tax services.)
11. Subscription Services
Where services are provided under a monthly subscription:
11.1 Nature of Subscription
The subscription covers ongoing compliance monitoring, bookkeeping review, advisory availability, transaction oversight, and preparation work. It is not limited solely to final filing submission.
11.2 Continuity
The subscription remains active until terminated in writing.
11.3 Notice Period
A minimum of 30 days’ written notice is required to terminate subscription services.
11.4 Month of Notice
The subscription fee for the month in which notice is given remains payable in full.
11.5 No Refunds
No refunds are provided for partial subscription months.
12. Filing and Annual Services
Separate fees may apply for:
- Annual accounts
- Corporate income tax returns
- Personal income tax returns
- Non-resident filings
- Specific advisory projects
Payment for annual filing work does not replace or cancel monthly subscription fees unless expressly agreed in writing.
Filings will only be submitted once:
- All required documentation has been provided
- The Client has approved the submission
- All outstanding invoices have been settled
Baleario is not responsible for penalties, interest, or surcharges resulting from delays in receiving information from the Client.
13. Reliance on Client Information (Accounting & Tax Services)
Baleario prepares accounts, filings, and advice based solely on the information and documentation supplied by the Client.
The Client confirms that all information provided is complete, accurate, and not misleading.
Baleario shall not be liable for:
- Penalties, interest, or surcharges arising from incomplete, inaccurate, or late information provided by the Client
- Undisclosed income, assets, liabilities, or transactions
- Errors resulting from incorrect classification of transactions by the Client
- Tax authority adjustments arising from facts not disclosed to Baleario
The Client remains legally responsible for the accuracy of all tax returns and financial filings submitted on their behalf.
Baleario does not conduct audit or verification procedures unless expressly agreed in writing.
SECTION C – MORTGAGE INTRODUCTION SERVICES
(Only applicable where the Client engages mortgage-related services.)
14. Role and Regulatory Position
Baleario acts solely as an introducer and coordinator in relation to mortgage applications.
Regulated mortgage broking and credit intermediation services are fulfilled by Russell Clements, registered with the Bank of Spain under registration number D675.
Baleario does not guarantee mortgage approval or specific loan terms.
The Client acknowledges that all mortgage agreements are subject to lender terms, underwriting approval, and regulatory requirements.
15. Mortgage Fees
15.1 Agreement in Principle (AIP) Fee
Upon securing an Agreement in Principle (AIP), the Client agrees to pay a non-refundable fee of €500 plus IVA.
15.2 Completion Fee
Upon completion of the mortgage and property purchase, the Client agrees to pay a commission of 0.5% of the final loan amount plus IVA.
15.3 Payment Terms
The completion fee will be invoiced on completion and is payable within 7 days.
All fees are exclusive of IVA at the applicable rate.
16. Client Obligations (Mortgage Services)
The Client agrees to:
- Provide all required documentation promptly
- Disclose complete financial information
- Inform Baleario immediately if they decide not to proceed after an AIP has been secured
If the Client terminates after an AIP has been secured, the €500 fee remains payable.
Termination does not affect payment obligations for completed services.
